The Nominating and Corporate Governance Committee is responsible for identifying individuals for Board membership, recommending directors for appointment to Board committees, evaluating director independence, and Board performance, overseeing and setting compensation for directors and developing and overseeing compliance with the Corporate Governance Guidelines and Code of Ethics of the Company.
